These Terms apply to clients in the United States, Canada, and Australia. Where jurisdiction-specific provisions differ, the applicable section is noted. All services are provided by IntelliBridge Web Solutions, registered in the Philippines. Engagements are governed under Philippine law with international enforceability provisions.

1Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and IntelliBridge Web Solutions ("IWS", "we", "our", or "us"), governing access to and use of IWS remote staffing services, the IWS website at iwsph.com, and all related communications and agreements.

By engaging IWS services, signing a Service Agreement, or submitting an inquiry, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering these Terms on behalf of a company, you represent that you have authority to bind that entity.

2Services

IWS provides remote Virtual Assistant (VA) staffing services across 16 specialist roles, including but not limited to: Virtual Assistants, Customer Service Representatives, Technical Support, Outbound Sales Agents, Web Developers, Social Media Managers, Real Estate Agents, Lead Generation Specialists, Recruitment Associates, Email & Chat Support, French Bilingual Agents, Online Tutorial Services, Accountants & Bookkeepers, Paralegal Services, Content Creators, and Appointment Setters.

7-Day Go-Live Guarantee: IWS commits to deploying a fully vetted, ready-to-work VA within 7 business days from the date the Service Agreement is signed and the Setup & Onboarding Fee is received in full. Delays caused by the Client's failure to provide required onboarding information do not count toward this guarantee window.

3Fees and Payment

Setup & Onboarding Fee: A one-time, non-refundable fee is due upon signing the Service Agreement. This covers VA sourcing, vetting, background verification, general training, and pre-deployment onboarding. Specific amount is confirmed in the executed Service Agreement.

Monthly Service Fee: The recurring monthly fee is billed on the same date each month, commencing from the go-live date. Specific amount is confirmed in the Service Agreement.

Payment: All fees are denominated in USD. Accepted via wire transfer, ACH, or other methods agreed in writing. Currency conversion costs (for CA and AU clients) are the Client's responsibility.

Late Payments: Invoices unpaid beyond 10 calendar days may result in service suspension. IWS reserves the right to charge 1.5% per month on outstanding balances.

No Refunds: Monthly fees are non-refundable once a billing cycle commences. The Setup & Onboarding Fee is non-refundable under any circumstances.

4Cancellation and Termination

No Lock-In Period: IWS operates on a month-to-month basis. There is no minimum contract duration or long-term commitment required.

Client-Initiated Cancellation: The Client may cancel at any time by providing 30 days' written notice to hello@iwsph.com. The Client remains liable for all fees accrued during the notice period.

IWS-Initiated Termination: IWS may terminate immediately in cases of non-payment exceeding 10 days, Client breach of these Terms, or Client directing staff to engage in unlawful or abusive activities.

VA Replacement: If a VA replacement is requested, IWS will provide a suitable replacement within 5 business days. One replacement is available at no additional charge within the first 30 days of engagement.

5Client Responsibilities

The Client agrees to: provide timely onboarding materials; designate a point of contact; treat all IWS staff with respect; keep VA tasks within the agreed scope; provide feedback; and not directly hire or solicit any IWS-placed VA for 12 months after termination of the Service Agreement.

6Training and Onboarding

IWS-Provided Training: All VAs receive general training from IWS prior to deployment, covering professional communication, North American and Australian business culture, role-specific skills, and performance standards.

Client-Provided Training: The Client is responsible for training the VA on company-specific tools, software, internal workflows, processes, and any proprietary systems. This is similar to onboarding any new team member and typically takes 2–5 business days. IWS will support this process through your dedicated account manager.

Dedicated Account Manager: Every Client is assigned a dedicated IWS account manager from Day 1. This person serves as your primary point of contact for performance concerns, escalations, continuity planning, and relationship management throughout the engagement.

7Confidentiality

Both parties agree to hold each other's Confidential Information in strict confidence, not disclose it to third parties without consent, and use it solely for service delivery. All IWS VAs sign NDAs prior to deployment. Confidentiality obligations survive termination for three (3) years.

8Intellectual Property

All work product created by the VA specifically for the Client during the term, upon full payment of all fees, belongs to the Client. IWS retains all rights to its own training materials, methodologies, and internal systems.

9Representations and Warranties

IWS represents that it has authority to enter these Terms, all VAs are legal Philippine residents, and it will make reasonable efforts to maintain service quality. The Client represents it has authority to enter these Terms and will not use IWS services for unlawful purposes.

Except as stated herein, services are provided on an "as available" basis with no warranties regarding revenue outcomes or fitness for a specific purpose.

10Limitation of Liability

To the maximum extent permitted by law, IWS's total liability shall not exceed fees paid in the 3 months preceding the claim. IWS is not liable for indirect, consequential, or punitive damages. IWS is not liable for service disruptions caused by events beyond its reasonable control.

11Jurisdiction-Specific Provisions

United States

US Clients acknowledge IWS VAs are independent offshore contractors. IWS does not assume US employer obligations. US consumer protection laws do not apply to B2B service agreements.

Canada

Canadian Clients acknowledge that IWS is not subject to Canadian employment standards legislation. GST/HST is not charged by IWS. French-language services are available upon request for Quebec-based clients.

Australia

Australian Clients acknowledge IWS VAs are overseas contractors and are not subject to the Fair Work Act 2009 or National Employment Standards. GST is not applicable. Superannuation obligations do not apply to IWS staff.

In all jurisdictions, IWS operates as a third-party staffing provider. The employment relationship is between IWS and its staff under Philippine law.

12Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Before formal proceedings, both parties agree to attempt good-faith resolution within 30 days of written notice. Unresolved disputes shall be submitted to binding arbitration in Angeles City, Pampanga, Philippines, conducted in English. The arbitrator's decision is final and binding.

13Changes to These Terms

IWS may update these Terms at any time. Active Clients will be notified by email at least 14 days before changes take effect. Continued use of services after the effective date constitutes acceptance of revised Terms.
